PROYECTO DE INTEGRACIÓN DE CAJASUR BANCO S.A.U. EN KUTXABANK S.A. MEDIANTE FUSION POR ABSORCION

 

Con motivo del proceso de fusión por absorción acordado entre las empresas Kutxabank S.A, constituida por escritura otorgada ante el Notario de Bilbao, D. Vicente Maria del Arenal Otero, con fecha 14 de junio de 2011, número 863 de su protocolo de dicho año, e inscrita en el Registro Mercantil de Vizcaya, en el Tomo 5226, Libro 0, Hoja BI-58729, Folio 1, Inscripción 1ª y Cajasur Banco S.A.U constituida por escritura otorgada ante el Notario de Bilbao, D. Vicente María del Arenal Otero,  con fecha 20 de septiembre de 2010, número 1.283 de su protocolo de dicho año e inscrita en el Registro Mercantil de Córdoba, Hoja CO-35656, Folio 1, Inscripción 1ª informamos que:

  • A partir del día 1 de octubre de 2025, Kutxabank S.A. absorberá a Cajasur Banco S.A.U. Este cambio tendrá efectos jurídicos desde esa misma fecha (en adelante el “día de efecto”).
  • Esto significa que Cajasur Banco S.A.U dejará de existir como empresa independiente y todos sus derechos y obligaciones pasarán a ser responsabilidad de Kutxabank S.A.

 

¿Qué implica este cambio?

  1. Documentos anteriores al “día de efecto”: Si has firmado o recibido un contrato o documento de Cajasur Banco S.A.U antes del “día de efecto”, todas las menciones a dicha empresa deberán entenderse como referidas a Kutxabank S.A., que asume, a partir del “día de efecto”, todas sus obligaciones y compromisos.
  2. Documentos posteriores al “día de efecto”: Si después del “día de efecto” firmas o recibes un contrato que mencione a Cajasur Banco S.A.U., esa mención se refiere legalmente a Kutxabank S.A.
  3. Contenido digital o en papel: Cualquier referencia a Cajasur Banco S.A.U. en páginas web, banners, aplicaciones o documentos físicos o digitales, deberá entenderse como hecha a Kutxabank S.A. a partir del “día de efecto”.

Esta comunicación tiene como finalidad que estés informado de manera clara y sencilla sobre este cambio empresarial, con el objetivo de evitar confusiones y facilitar una correcta interpretación de los documentos.
